End User Terms
Introduction
These End User Terms ("Terms") govern your access to and use of any portal operated by ProcuHelp B.V. ("ProcuHelp", "we", "us") on behalf of one of our customers. This includes the vendor onboarding portal and the purchase request portal.
You are accessing this portal because you have been invited to do so by a ProcuHelp customer (the "Organisation"). Your relationship is with the Organisation, not with ProcuHelp. ProcuHelp operates the technical infrastructure of this portal as a service provider to the Organisation.
By accessing or submitting any information through this portal, you confirm that you have read, understood, and agree to these Terms. If you do not agree, you must not use the portal.
1. Who operates this portal
This portal is operated by ProcuHelp B.V. on behalf of the Organisation whose name and branding appear in the portal. ProcuHelp provides the technology platform only. The Organisation is responsible for the procurement process, any decisions made in connection with your submission, and any contractual relationship between you and the Organisation.
ProcuHelp is not a party to any agreement between you and the Organisation and has no involvement in procurement decisions, vendor approvals, purchase approvals, or any other business outcome arising from your use of this portal.
2. Your access
Your right to access this portal is granted by the Organisation. It is personal to you and may not be transferred or shared with any other person. You must keep any access credentials secure and confidential. You are solely responsible for any activity that takes place under your access.
If you believe your access has been compromised, notify the Organisation immediately.
Your access continues only for as long as the Organisation authorises it. ProcuHelp may suspend or terminate your access at any time without notice if directed to do so by the Organisation, if you breach these Terms, or if ProcuHelp's agreement with the Organisation ends.
3. What you may use this portal for
You may use this portal only for the purpose for which it has been shared with you — either to complete a vendor onboarding process or to submit a purchase request on behalf of your organisation, as applicable.
You must not use this portal for any other purpose.
You must not attempt to access any part of the portal beyond what has been made available to you, or any data belonging to other users or organisations.
4. Your submissions
You are solely responsible for the accuracy, completeness, and legality of all information, documents, and data you submit through this portal. By submitting information you confirm that:
You have the authority to submit it on behalf of yourself or your organisation
The information is accurate and not misleading
The submission does not infringe any third-party intellectual property right, confidentiality obligation, or applicable law
You have obtained all necessary consents and permissions for any personal data included in your submission
ProcuHelp does not verify or validate submissions and accepts no responsibility for inaccurate, incomplete, or misleading information submitted through the portal. The Organisation is responsible for reviewing and acting on submissions.
5. Intellectual property
All intellectual property rights in the portal, including its design, structure, software, and functionality, belong to ProcuHelp B.V. You receive no rights in respect of any ProcuHelp intellectual property other than the limited right to access and use the portal as described in these Terms.
You retain ownership of any documents and information you submit. By submitting content through the portal you grant ProcuHelp a limited licence to store and process that content solely for the purpose of delivering the portal service to the Organisation.
6. Acceptable use
You must not:
Use the portal in any unlawful manner or for any unlawful purpose
Submit content that is unlawful, defamatory, harmful, fraudulent, infringing, or offensive
Attempt to gain unauthorised access to any part of the portal or any connected system
Introduce viruses, malware, or any other harmful code into the portal
Attempt to decompile, reverse engineer, or copy any part of the portal
Use the portal in any way that disrupts or damages its operation or the experience of other users
Harvest or collect data from the portal beyond your own submissions
ProcuHelp reserves the right to disable your access immediately and without notice if it determines, in its sole discretion, that you have breached this clause.
7. Personal data
ProcuHelp processes personal data submitted through this portal on behalf of the Organisation as a data processor under the GDPR. The Organisation is the data controller for personal data you submit and is responsible for its lawful processing.

If you cannot identify the relevant Organisation or need assistance exercising your data subject rights, contact us at privacy@procuhelp.com and we will assist you in identifying the correct controller.
8. Availability and limitations
ProcuHelp does not guarantee that this portal will be available at all times or that it will be free from errors, interruptions, or security vulnerabilities. We may suspend, withdraw, or restrict access to the portal at any time for operational, legal, or security reasons without notice or liability to you.
We recommend that you retain copies of any documents or information you submit through the portal. ProcuHelp is not liable for any loss of submitted content in the event of a technical failure, termination of the Organisation's agreement with ProcuHelp, or any other cause.
9. Disclaimer of warranties
The portal is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable Dutch and EU law, ProcuHelp excludes all warranties, representations, and conditions of any kind, whether express or implied, including any warranty of fitness for a particular purpose, accuracy, reliability, or non-infringement.
ProcuHelp makes no representation that submissions made through this portal will result in any particular outcome, including vendor approval, purchase approval, or any other business decision by the Organisation.
10. Limitation of liability
To the fullest extent permitted by applicable Dutch and EU law, ProcuHelp shall have no liability to you for any loss or damage arising from your use of or inability to use this portal, including without limitation any loss of data, loss of business opportunity, loss of profits, or any indirect or consequential loss, howsoever caused.
ProcuHelp's total aggregate liability to you in connection with these Terms and your use of the portal shall not exceed €250,- regardless of the legal basis of any claim.
Nothing in these Terms excludes liability for death or personal injury caused by gross negligence, fraud, or any other liability that cannot lawfully be excluded under mandatory Dutch or EU law.
11. Changes to these Terms
ProcuHelp may update these Terms at any time by publishing a revised version at www.procuhelp.com/end-user-terms. Your continued use of the portal after any update constitutes acceptance of the revised Terms. We recommend checking these Terms periodically.
12. General
These Terms constitute the entire agreement between you and ProcuHelp in relation to your use of this portal. They do not create any partnership, employment, or agency relationship between you and ProcuHelp.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force.
No failure by ProcuHelp to enforce any provision of these Terms constitutes a waiver of that provision or any other provision.
These Terms are governed by the laws of the Netherlands. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent court in Rotterdam, the Netherlands.
